INVOICING AND PAYMENT

11.VAT. VAT will be added as appropriate to all fees in accordance with the laws of the United Kingdom.

12.Invoicing. The Agency charges 20% on the total of the quoted shoot, travel and usage fees on all Assignments except for Equity TV commercials on repeats. For all except these latter Assignments, the model receives 66.66% and the Agency 33.33% of the total fee on the invoice (excluding expenses and VAT). For Equity contracts on repeats the respective percentages are 80% and 20%.

13.Payment. Payment on all invoices is required within 30 days of date of invoice. In all cases the person booking the model will be invoiced and solely responsible for payment unless otherwise agreed at the time of booking. The Agency reserve the right to invoice the ?ultimate Client?.

14.No use of images is permitted unless and until all relevant fees have been paid.

PROVISIONAL BOOKINGS

16.Provisional bookings will be automatically canceled if they are not confirmed within 24 hours of the proposed booking or if a definite booking is offered and the provisional booking cannot be confirmed.

CANCELLATIONS

17.Cancellation fees will be due if an assignment is canceled by the Client as follows:

a) within five working days of the starting time the full fee will be charged unless the same model is re-booked within 24 hours in which case half the fee will be charged.

b) If a booking is cancelled outside the five-day period but within ten working days of the starting time then half the fee will be charged.

c)This is a reciprocal arrangement between model and Client.

18.If a booking is cancelled because of illness or some other reason beyond the model?s or Agent?s control, neither the Agency nor the model shall not be liable for cancellation charges.

19.Weather-Permitting Bookings. At the first cancellation, a half-fee is charged unless the Client fails to cancel in time to prevent the model?s attendance, when the full fee is payable. At the second cancellation the full fee is charged.

COPYRIGHT ? PHOTOGRAPHER INFORMATION

20.The photographer is not entitled to use any of the images he or she takes for any usage other than his or her personal portfolio beyond that agreed and paid for through the Agency. The photographer to this extent agrees to restrict use of his copyright and, if the Agency Client is not the photographer, the Client is to draw these terms and conditions to the attention of the photographer and obtain his agreement before the shoot commences.

21.A photographer is not entitled to use test and experimental photographs for commercial purposes of any kind.

COMPLAINTS

22.Any cause for complaint should be reported immediately it arises. Complaints will not be considered in retrospect.

23.Whilst every reasonable endeavour is made to provide satisfactory and efficient service to all Clients the Agency cannot be held responsible for a model?s conduct nor for any costs incurred by a model's lateness or non-appearance at an assignment.

INSURANCE

24.It is the Client?s responsibility to arrange insurance of all kinds for an assignment. This includes personal and third party liability insurance at an assignment and indemnity in the event that a model is unable to attend for whatever reason.

MATERIAL PRODUCED

25. It is an integral part of a booking agreement that the Client will provide a copy in reasonable format of the finished work of the assignment.
